1. Acceptance of Terms
These Terms of Service (hereinafter, "Terms") constitute a legally binding agreement between you and Prixio LLC (Identification Code: 405842842), registered at Tbilisi, Vake-Saburtalo District, Avto Varazi Street No. 107, Georgia (hereinafter, "Platform", "we", "Lotify", "Company"). By registering on the Platform, accessing our services, or placing a bid, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
Lotify is an online auction marketplace operating in accordance with the laws of Georgia, including: the Civil Code of Georgia (Articles 316-430 on Obligations), the Law of Georgia on Electronic Commerce (2024), the Law of Georgia on Consumer Rights Protection, and the Law of Georgia on Personal Data Protection (2023). The Platform acts solely as an intermediary facilitating transactions between buyers and sellers and is not a party to the sale contract.
If you do not agree to these Terms, you must not use the Platform. Your continued use of Lotify after any modifications to these Terms constitutes acceptance of the modified Terms.
2. User Accounts & Eligibility
- You must be at least 18 years old (the age of legal capacity under Article 12 of the Civil Code of Georgia) to register and use the Platform. By registering, you confirm that you have reached the age of majority.
- You must provide accurate, current, and complete information during registration. Providing false information may result in account termination and legal consequences under Georgian law.
- Each natural person may maintain only one account. Creating multiple accounts is prohibited and will result in permanent suspension of all associated accounts without prior notice.
- You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You must immediately notify us of any unauthorized access.
- We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
3. Seller Verification Requirements
To sell items on Lotify, you must complete seller verification. This process is designed to ensure trust and safety on the Platform.
- Verification requires: (1) a photograph of the front of your Georgian ID card, (2) a photograph of its back, (3) a selfie holding that ID card, (4) your full name, (5) a contact phone number, which the form records with the Georgian country code +995, (6) your city and address in Georgia. A postal code is optional. Each image must be a JPEG, PNG or WebP file of no more than 10 MB.
- Listing limits are set by your trust level, not by verification on its own. A new seller may keep 3 active auctions with up to 5 photos each; at the basic level this rises to 10 auctions and 8 photos.
- A trusted seller may keep 50 active auctions with up to 10 photos each, and the premium level, which we assign manually, allows 200 auctions and 15 photos. Completing verification raises your trust score and is one of the things that moves you up a level, alongside account age, completed sales and dispute history.
- Verification is typically processed within 24-48 business hours. We reserve the right to request additional documentation.
- Verified status may be revoked if we discover that submitted documents are fraudulent, the seller violates these Terms, or the seller receives multiple valid complaints.
4. Auction Rules
4.1 Placing Bids
- Every bid placed on Lotify constitutes a legally binding and irrevocable offer to purchase the item at the stated price under Articles 329-330 of the Civil Code of Georgia. By placing a bid, you enter into a binding commitment.
- Bids cannot be cancelled, retracted, or modified once placed. This rule ensures fair auction conditions for all participants. Consider your bid carefully before submitting.
- Each new bid must exceed the current highest bid by at least the minimum bid increment specified in the listing. The increment is shown on each listing's page and is currently 5 ₾ for every listing.
- Anti-sniping protection: if a bid is placed within the final 2 minutes of an auction, the end time is automatically extended by 2 minutes. This can happen at most 3 times on any one auction; after the third extension the auction ends at its scheduled time regardless of further late bids.
4.2 Auction Completion
When an auction ends, the highest bidder wins and a binding purchase agreement is formed between the buyer and seller. The winning bidder has exactly 48 hours from the auction end time to complete payment. Failure to pay within this deadline constitutes breach of contract.
4.3 Shill Bidding Prohibition
Shill bidding, the practice of artificially inflating prices through fake bids, including bids by the seller, the seller's associates, or coordinated bidders, is strictly prohibited and constitutes fraud under Georgian law. The Platform employs automated detection systems that analyze bidding patterns. Accounts engaged in shill bidding will be permanently banned, and we reserve the right to report such activity to law enforcement.
4.4 No Withdrawal Right for Auction Purchases
Under Article 13(4) of the Law of Georgia on Consumer Rights Protection, the 14-day withdrawal right that applies to standard online purchases does NOT apply to goods purchased through public auctions. Once you win an auction, you are legally obligated to complete the purchase. This exemption exists because auction dynamics require binding commitments from all participants.
4.5 Seller Obligations
Sellers must: (1) provide accurate and complete descriptions of items, (2) disclose all known defects, (3) use genuine photos of the actual item being sold, (4) dispatch items within 3 business days of receiving payment, (5) record the carrier and tracking number on the Platform when an item is shipped, unless the buyer is collecting it in person. Misleading descriptions may constitute fraud under Georgian law.
5. Payment Terms
- All transactions on Lotify are conducted exclusively in Georgian Lari (GEL). A bid is a price for the item alone. Any delivery charge is shown separately and added to the total before you pay.
- Payments are processed securely through our licensed payment service provider, regulated by the National Bank of Georgia. We do not store your payment card details.
- Winners must complete payment within 48 hours of the auction ending. The time remaining is shown on the purchase in My Purchases.
- Failure to pay within the deadline results in a non-payment strike. Each strike stays on your account for 6 months and then expires. Three active strikes trigger a 30 day bidding restriction. If you believe a strike was issued in error you can appeal it from the My Strikes page.
- Seller commissions and service fees are determined separately and displayed before listing creation.
- Refunds are processed through the escrow system. If a dispute is resolved in the buyer's favour, the reversal is sent to the bank as soon as the refund is approved and the money returns to the card used for the payment. How soon it appears on your statement is decided by your bank.
6. Platform Fees & Commissions
- Buyers: Lotify charges buyers no platform fee and no commission. The winning bid is the price of the item, and Lotify adds nothing of its own on top of it.
- A delivery charge is not a Lotify fee. If you ask the seller to ship the item, the seller sets the delivery charge and it is added to the amount you pay. Self-pickup carries no delivery charge. If you choose Georgian Post, you pay the post office directly when you collect the item, so that amount is not part of what you pay on Lotify.
- You choose the delivery method before you pay, and every option shows its charge. The amount taken from your card is the winning bid plus the delivery charge for the method you chose, and that total is shown on the bank's payment page before you confirm.
- The delivery charge is shown to you after you win, when you choose how to receive the item. It is not shown on the listing while the auction is running, so a bid commits you to the price of the item, and the delivery charge for the method you then choose is added to it.
- Sellers: A commission is charged on successful sales and is deducted when the escrow funds are released. The rate in force is shown to you before you create a listing. The commission is calculated on the amount the buyer paid, which includes any delivery charge you set.
- Payment processing fees charged by our payment provider are included in the seller commission and are not charged separately.
- We reserve the right to modify fee structures with 30 days advance notice. Changes do not apply to auctions already in progress at the time of notification.
- Users are responsible for any applicable taxes on their transactions. Sellers operating as businesses must comply with Georgian tax law, including VAT registration requirements if applicable.
7. Escrow & Buyer Protection
To protect both buyers and sellers, all payments are held in escrow until the transaction is successfully completed:
- Step 1: The buyer's payment is received and held securely in an escrow account managed by Prixio LLC.
- Step 2: The seller must dispatch the item within 3 business days and record the carrier and tracking number on the Platform. The Platform does not automatically check that this has happened, so if nothing is dispatched the buyer should report the problem before the funds are released.
- Step 3: Once the seller marks the item as delivered, the buyer has 7 days to inspect it and either confirm receipt or report a problem.
- Step 4: Funds go to the seller as soon as the buyer confirms receipt. If the buyer does nothing, they are released automatically when the holding period ends. That period is 7 days from the date the item is marked delivered, 14 days from payment where the buyer collects the item in person, 21 days from dispatch where an item was shipped but never marked delivered, and 30 days from payment where the seller never records a dispatch at all.
This escrow system protects buyers from non-delivery and sellers from payment chargebacks. Funds are released to the seller when the buyer confirms receipt, when a dispute is decided, or automatically once the applicable holding period expires. Reporting a problem before that deadline stops the release while the case is reviewed.
8. Shipping & Delivery
- Sellers are responsible for: (1) properly packaging items to prevent damage, (2) dispatching within 3 business days of payment confirmation, (3) using a trackable shipping method where the item is shipped, (4) recording the tracking information on the Platform. These are obligations on the seller. Lotify does not automatically verify that they are met, so a buyer whose item does not arrive should report the problem before the escrow funds are released.
- When a seller ships an item they record a tracking number and pick a carrier from the list the Platform supports, currently Georgian Post or Other. Lotify stores those details and links to the carrier's own tracking page where one exists. It does not query carriers directly, so the delivery status shown is the one the seller records.
- Delivery charges: self-pickup is free. Where you ask the seller to ship, the seller sets the charge when creating the listing and it is added to the amount you pay on Lotify. Where Georgian Post is used, you pay the post office directly when you collect, and that amount does not pass through Lotify.
- Buyers must provide accurate delivery addresses. Sellers are not responsible for delivery failures due to incorrect addresses provided by buyers.
- If an item is damaged in transit, the buyer should photograph the damage and report the problem before the escrow funds are released. If the seller has marked an item delivered but the buyer says it never arrived, we investigate before deciding.
- Currently, Lotify operates exclusively within Georgia. International shipping is not supported.
9. Returns, Refunds & Dispute Resolution
Due to the auction nature of Lotify, general returns are not accepted. The 14-day withdrawal right under consumer protection law does not apply to auction purchases.
Refunds may be issued only in the following cases: (1) item significantly not as described, (2) item not delivered, (3) item is counterfeit, (4) item arrives damaged (with photo evidence).
- The buyer may report a problem at any time while the payment is still held in escrow, that is, until the funds are released to the seller.
- The seller has 48 hours to respond to the dispute.
- If the parties do not resolve it between themselves, Platform administration reviews the case and makes a binding decision. We aim to decide within 5 business days, though this is a target rather than a guaranteed deadline.
- Either party may appeal the decision within 7 days of receiving the resolution.
- Both parties should describe the issue as fully as possible in their written submissions. There is no file upload in the dispute form at present, so decisions are based on those descriptions together with the listing, the messages between the parties, and the transaction and shipping records held by the Platform.
If our internal dispute resolution does not satisfy you, you may file a complaint with the Competition and Consumer Protection Agency of Georgia (gcca.gov.ge) or pursue legal remedies in Georgian courts.
10. Chargebacks & Fund Recovery
A chargeback (payment reversal) occurs when a buyer or their bank/card issuer disputes a payment that has already been processed. In such cases the following rules apply:
- The Seller bears full financial responsibility for any chargeback, payment dispute, or reversal arising from their transactions, including: goods not as described, non-delivery or late delivery, fraudulent or unauthorized transactions, and buyer dissatisfaction claims.
- Prixio LLC, as the Platform and Merchant of Record toward the payment service provider, is liable to the provider and covers the chargeback amount, and subsequently recovers that amount from the responsible Seller.
- The Seller agrees that Prixio has the right to set off the chargeback amount and associated fees against the Seller's current or future payable funds (set-off), in accordance with the Civil Code of Georgia.
- Prixio reserves the right to temporarily withhold or hold in reserve a portion of the Seller's balance to cover chargeback risk, and to delay payout to the Seller until the dispute or chargeback window has closed.
- If the Seller's available balance is insufficient, a negative balance arises which the Seller must repay within 14 days of Prixio's demand. Otherwise, Prixio is entitled to recover the amount through legally established means.
- In the event of a high chargeback rate or unpaid debt, Prixio is entitled to suspend or terminate the Seller's account and withhold payable funds until the matter is finally resolved.
11. Prohibited Items & Content
The following items and content are strictly prohibited on Lotify. Violations will result in immediate listing removal, account suspension, and may be reported to authorities:
- Firearms, ammunition, explosives, knives designed as weapons, and any items classified as weapons under Georgian law
- Narcotics, controlled substances, drug paraphernalia, and prescription medications
- Stolen property or items obtained through illegal means
- Counterfeit, replica, or fake branded products
- Hazardous materials, toxic chemicals, and radioactive substances
- Pornographic or sexually explicit material
- Personal data, identity documents, financial accounts, or login credentials of others
- Any item whose sale, possession, or distribution is prohibited under Georgian law
- Items requiring special permits or licenses that the seller does not possess
- Products subject to safety recalls
- Live animals or protected wildlife products
12. User Content & Conduct
- By uploading content (including photos, descriptions, and other materials) to the Platform, you grant Prixio LLC a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, and distribute your content solely for operating the Platform, providing services, and marketing Lotify.
- You retain ownership of your content. This license terminates when you delete your content, except for content that has been shared or used in completed transactions.
- You are solely responsible for all content you upload. You warrant that: (1) you own or have rights to the content, (2) the content does not infringe any third-party rights, (3) the content is accurate and not misleading.
- Prohibited content includes: false or misleading information, content that infringes intellectual property rights, defamatory statements, spam or commercial solicitations outside of listings, and content that violates any applicable law.
13. Intellectual Property
- The Lotify name, logo, website design, software, and all related intellectual property are owned by Prixio LLC and protected under Georgian and international intellectual property laws. Unauthorized use is prohibited.
- Sellers retain intellectual property rights to their product photos and descriptions. However, by listing items, sellers grant buyers the right to use product images for personal, non-commercial purposes (e.g., resale of the purchased item).
- If you believe your intellectual property rights have been infringed, contact us at contact@lotify.ge with: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good faith belief, (5) a statement of accuracy under penalty of perjury.
- If your listing was removed due to an IP complaint, you may submit a counter-notice if you believe the removal was in error.
14. Limitation of Liability
- Prixio LLC operates Lotify solely as an intermediary platform connecting buyers and sellers. We are NOT a party to transactions and do NOT take title to any items. We are not responsible for: the quality, safety, or legality of items listed; the accuracy of listings; the ability of sellers to deliver items; or the ability of buyers to pay.
- We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for losses resulting from: service interruptions, technical failures, data loss, cyberattacks, or circumstances beyond our reasonable control.
- Users assume full responsibility for their actions on the Platform, including compliance with applicable laws and these Terms.
- TO THE MAXIMUM EXTENT PERMITTED BY GEORGIAN LAW, PRIXIO LLC'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) 500 GEL.
- We do not exclude liability for: death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under Georgian law.
15. Force Majeure
Neither party shall be liable for failure or delay in performing obligations under these Terms if such failure or delay results from circumstances beyond reasonable control, including but not limited to: natural disasters, acts of war or terrorism, civil unrest, government actions or restrictions, pandemics, power or telecommunications failures, or cyberattacks. The affected party must notify the other party promptly and make reasonable efforts to mitigate the impact.
16. Indemnification
You agree to indemnify, defend, and hold harmless Prixio LLC, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (1) your use of the Platform, (2) your violation of these Terms, (3) your violation of any third-party rights, (4) any content you submit, or (5) your violation of applicable laws.
17. Governing Law & Jurisdiction
- These Terms are governed by and construed in accordance with the laws of Georgia, without regard to conflict of law principles.
- Any disputes arising from or relating to these Terms or your use of the Platform shall be resolved exclusively by the courts of Tbilisi, Georgia. You consent to the personal jurisdiction of such courts.
- These Terms are provided in Georgian and English. In case of any discrepancy or conflict between language versions, the Georgian version shall prevail.
- Nothing in these Terms affects your statutory rights as a consumer under Georgian law. If our internal dispute resolution does not satisfy you, you may file a complaint with the Competition and Consumer Protection Agency of Georgia (gcca.gov.ge).
18. Changes to Terms
Prixio LLC reserves the right to modify these Terms at any time. Material changes will be notified via email and/or prominent notice on the Platform at least 15 days before taking effect. Your continued use of Lotify after the effective date constitutes acceptance. If you do not agree to the modified Terms, you must stop using the Platform.
The current version of these Terms is always available at lotify.ge/terms. We recommend reviewing the Terms periodically.
19. Account Termination
- You may close your account at any time through Settings. Account closure does not release you from obligations for ongoing transactions or outstanding payments.
- We may suspend or terminate your account immediately and without notice if you: violate these Terms, engage in fraudulent activity, receive multiple valid complaints, or pose a risk to other users or the Platform.
- Upon termination: active listings are cancelled, pending payments may be held for dispute resolution, and you lose access to your account. Data retention is governed by our Privacy Policy.
